Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Arcllo AI receptionist service ("Service") provided by Arcllo ("Arcllo," "we," "us," or "our"). By engaging Arcllo's services, you agree to be bound by these Terms.
Service Description
Arcllo provides AI-powered voice receptionist technology designed to answer inbound telephone calls, engage with callers, qualify leads, and facilitate appointment bookings on behalf of home service businesses. The Service is a technology tool and does not constitute legal, medical, financial, or professional advice of any kind. Arcllo does not represent, warrant, or guarantee any specific call outcome, lead quality, or business result.
Client Responsibilities
By using the Service, you agree to:
- Provide accurate and up-to-date information about your business, services, pricing, and booking policies so the AI can be appropriately configured
- Ensure your use of the Service complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and applicable state call recording disclosure laws. TCPA compliance is your responsibility as the business operator
- Use the Service only for lawful business purposes and not for spam, harassment, deceptive practices, or any unlawful use
- Notify Arcllo promptly of any material changes to your business information that may affect the AI's configuration or accuracy
Fees
Setup fees, where applicable, are earned upon commencement of the onboarding session and are non-refundable thereafter. Monthly service fees are billed in advance and apply to the current billing period. Monthly fees are non-refundable for partial months, regardless of the date of cancellation within the billing period. Arcllo reserves the right to modify its fee structure with 14 days' written notice.
No Warranties
The Service is provided "as is" and "as available." Arcllo makes no representations or warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Arcllo makes no representations regarding specific call outcomes, lead conversion rates, booking rates, or revenue impact. Performance of the AI depends on factors outside Arcllo's reasonable control, including caller behavior, network conditions, and the accuracy of information provided by the client.
Service Availability
Arcllo will use commercially reasonable efforts to maintain service availability. However, Arcllo does not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance windows and circumstances beyond Arcllo's reasonable control (including force majeure events, third-party infrastructure failures, and telecommunications outages) are excluded from any availability commitments.
Limitation of Liability
To the maximum extent permitted by applicable law, Arcllo's total cumulative liability to you arising from or relating to these Terms or the Service shall not exceed the total fees paid by you to Arcllo in the one calendar month immediately preceding the event giving rise to the claim.
In no event shall Arcllo be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
Acceptable Use
You agree not to use the Service for:
- Sending spam or unsolicited commercial communications
- Harassment, threatening, or abusive conduct toward any person
- Deceptive, fraudulent, or misleading practices
- Any purpose that violates applicable federal, state, or local law
- Interfering with or disrupting the integrity or performance of the Service
Arcllo reserves the right to suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that your use violates these Terms or applicable law.
Termination
Either party may terminate the Service relationship with 30 days' written notice to the other party. Upon termination, Arcllo will delete your call data and associated records within 60 days, subject to any legal obligations requiring us to retain certain records for a longer period. Fees paid prior to termination are non-refundable.
Modifications to These Terms
Arcllo may update these Terms from time to time. We will provide you with at least 14 days' written notice of any material changes by email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you may terminate the Service relationship as described above.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.
